MANAGEMENT PROFILES

The Company is organized into three functional areas -- Sales and marketing is led by
Sarah Miller and is primarily responsible for working with the company's area managers in finding new development opportunities and leasing up the company's tower inventory. Operations is headed by Brooke Dolan and is charged with developing the company's sites consistent with ClearShot's strict quality and budgetary standards. Finance, accounting, and contract management are run by David Lee. All of the company's senior executives will play a role in business development as well.

Brooke Dolan, CEO - Mr. Dolan has overall responsibility for the timely and cost-effective construction of the company's tower portfolio. He formed CWP in 1996. From 1993-1996 Dolan was Vice President and Corporate Secretary of Dame Media, Inc. (a private radio broadcasting company) where he was responsible for finance, acquisitions and real estate. While at Dame Media, Dolan also oversaw the leasing of the company's eleven radio towers and the construction of new towers. In 1986 Dolan formed Storage Associates, LP and BKD Contracting, Inc. to develop and operate 2,000 units of mini storage warehouse facilities. The units were sold in 1992 to a publicly traded mini storage operator. David Lee, President & CFO - Mr. Lee has responsibility for finance and accounting, operational and financial agreements and contracts. He joined with Mr. Dolan in 1997. From 1996-1997 he was Chief Financial Officer of American Tower Systems, Inc. (now ATC). From 1987-1995 he was a principal with Pegasus Media & Communications and its predecessor companies involved in the acquisition and operation of broadcasting, cable, publishing, direct broadcast satellite and wireless communications businesses. He created and managed Pegasus Towers, LP, a tower leasing company, from its inception in 1991. Mr. Lee was a founder and partner of Skyline Communications, LP until its merger with American Tower in 1996. Sarah Miller, Executive Vice President - Ms. Miller joined ClearShot Wireless Partners in September 1998 as a partner. She is responsible for company wide sales and marketing. Prior to joining ClearShot, Miller worked for sixteen years as a senior executive in various divisions of Time Warner Inc. including Time Inc., HBO Inc. and COMEDY CENTRAL. From 1989 to 1997, Miller was Executive Vice President Operations and Finance and CFO of COMEDY CENTRAL. An original member of the start-up team that founded the 24-hour basic cable network, Ms Miller also managed the subscriber sales and revenue areas and during that period, cable subscriber distribution grew from 12-50 million households. From 1975-1980, she worked at The Bank of New York as an Assistant Vice President in the Commercial Banking Division.
